By accessing or using Nano-Chat's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
Eligibility

Service Offerings
Nano-Chat provides an AI-powered chat platform that enables businesses to automate customer support conversations. Our service includes chatbot deployment, analytics, customization tools, and integration capabilities.
Account Registration
To use our services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these terms. You may not use our services to transmit harmful content, violate intellectual property rights, engage in fraudulent activities, or interfere with the platform's operation.
Service Modifications
We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that may affect your use.
Prohibited Activities
Content Restrictions
You may not use our platform to create chatbots that distribute illegal content, promote violence, spread misinformation, engage in harassment, or violate the rights of others.
Technical Restrictions
You may not attempt to reverse engineer, decompile, or hack our services; use automated systems to access the platform in a manner that sends more requests than a human could reasonably produce; or attempt to circumvent security measures or rate limits.
Commercial Restrictions
You may not resell, lease, or redistribute our services without explicit written permission. You may not use our platform to compete with us or develop a competing service.
Data Scraping
You may not scrape, crawl, or use automated means to extract data from our platform beyond what is necessary for your legitimate use of the service.
Intellectual Property
Our Intellectual Property
All content, features, and functionality of Nano-Chat, including but not limited to software, text, graphics, logos, and trademarks, are owned by us or our licensors and protected by intellectual property laws.
Your Content
You retain all rights to the content you provide to our platform, including chat configurations, knowledge bases, and customer conversations. By using our services, you grant us a license to use, store, and process this content solely to provide and improve our services.
License to Use
Subject to these terms, we grant you a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes.
Feedback
If you provide us with feedback, suggestions, or ideas about our services, you grant us the right to use that feedback without compensation or obligation to you.
Payment Terms
Subscription Plans
Our services are offered on a subscription basis with different pricing tiers. You agree to pay all fees associated with your selected plan according to the pricing and payment terms in effect at the time.
Billing & Payments
Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method on file for all applicable fees. If payment fails, we may suspend or terminate your access.
Refund Policy
Subscription fees are non-refundable except where required by law or as explicitly stated in our refund policy. If you cancel your subscription, you will retain access until the end of your current billing period.
Price Changes
We may change our pricing at any time. For existing subscriptions, we will provide at least 30 days' notice before any price increase takes effect. Continued use after the price change constitutes acceptance.
Usage Limits
Each subscription plan includes specific usage limits (messages, conversations, etc.). If you exceed these limits, additional fees may apply, or we may restrict service until you upgrade your plan.
Disclaimers & Limitations
Service Availability
Our services are provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted, error-free, or secure service. We may experience downtime for maintenance, updates, or unforeseen issues.
AI Accuracy
While we strive for accuracy, our AI chatbots may occasionally provide incorrect, incomplete, or inappropriate responses. You are responsible for reviewing and monitoring chatbot interactions and ensuring they meet your quality standards.
Third-Party Services
Our platform may integrate with third-party services. We are not responsible for the availability, accuracy, or content of third-party services, and your use of them is subject to their own terms and policies.
Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any rights of another party.
Additional Terms
Data & Privacy
Your use of our services is also governed by our Privacy Policy. We collect, use, and protect your data as described in that policy. You are responsible for ensuring you have appropriate rights to any data you provide to our platform, including customer data processed through chatbot conversations.
Termination
You may cancel your account at any time through your account settings. We may suspend or terminate your access immediately if you violate these terms, fail to pay fees, or if we believe your use poses a security risk. Upon termination, you will lose access to your account and data. We may retain certain data as required by law or for legitimate business purposes.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of using our services. This obligation survives termination of these terms.
Export Compliance
You agree to comply with all applicable export control laws and regulations. You may not use our services in countries subject to trade embargoes or export restrictions.
Dispute Resolution
Any disputes arising from these terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law. You waive any right to a jury trial or to participate in a class action.
Governing Law
These terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any legal action must be brought in the state or federal courts located in San Francisco, California.
Severability
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Changes to Terms
We may update these terms from time to time. We will notify you of material changes by email or through a prominent notice on our platform at least 30 days before the changes take effect. Your continued use after changes become effective constitutes acceptance of the updated terms.
Entire Agreement
These Terms of Service, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Nano-Chat regarding the use of our services.
